These Terms of Use and AI Disclosure apply to both of the Skandhas AI companion products described below. Except where a section distinguishes between them, all terms apply equally to both.

1. What These Services Are

Skandhas offers two distinct AI-powered, voice-based companion products, both grounded in the coaching and coaching supervision work of Miguel Noguerol, ICF Master Certified Coach (MCC).

The Skandhas Insight to Action Coaching Companion is a between-session coaching tool designed to support professional and leadership development. It is grounded in the Skandhas coaching methodology and approach. It is intended to complement, not replace, your professional coaching relationship with a qualified coach.

The Skandhas Reflective Practice Companion is a reflective practice tool for credentialed coaches to reflect on their own coaching practice. It is grounded in the Skandhas coaching supervision model. It is intended to complement, not replace, your work with a qualified human coaching supervisor and mentor coach.

2. What These Services Are Not

Neither Skandhas companion is:

• Therapy, counseling, or mental health treatment

• Medical, legal, or financial advice

• A licensed professional service of any kind

The Skandhas Insight to Action Coaching Companion is not a substitute for working with a qualified human coach, therapist, or advisor.

The Skandhas Reflective Practice Companion is not coaching supervision or mentor coaching. Time spent with it does not count toward any credential, renewal, continuing coach education, mentor coaching hours, or coaching supervision hours. It is not an assessment, examination, or leveling instrument, and it does not evaluate, score, or certify your competence or credential readiness. It is not a substitute for working with a qualified human coaching supervisor or mentor coach.

If you are experiencing a mental health crisis, please contact your local emergency services or a crisis helpline in your country immediately. Examples include the 988 Suicide and Crisis Lifeline in the United States (call or text 988), Línea 024 in Spain (call 024), and CVV in Brazil (call 188). In other countries, please contact your local emergency number or national crisis helpline.

3. AI Disclosure

These services are powered by artificial intelligence. Specifically:

• Conversations are conducted through ElevenLabs' Conversational AI platform, which uses Claude, an AI language model developed by Anthropic (anthropic.com), together with ElevenLabs' voice and speech recognition technology

• You are interacting with an AI system, not a human coach, supervisor, or mentor coach

• AI responses are probabilistic and may vary. They are not guaranteed to be accurate, complete, or appropriate for your specific situation

• Miguel Noguerol, MCC does not review individual sessions in real time, and does not review session content afterward except where you choose to voluntarily share it, as described in Section 8

• Your conversation content is not used to train or improve the underlying AI models operated by Anthropic or ElevenLabs, and is not shared with them for that purpose, without your explicit prior written consent

By using either service you acknowledge that you are interacting with an AI system and understand its limitations.

4. Your Responsibility

You are solely responsible for:

• Any decisions, actions, or choices you make as a result of using these services

• Verifying any information or insights generated during your sessions before acting on them

• Determining whether these services are appropriate for your specific situation

• Your own physical, mental, and emotional wellbeing during and after sessions

• Maintaining the confidentiality of any third party. If you are a coach using the Reflective Practice Companion, you are responsible for not sharing information that identifies your own clients or their organizations, and for meeting your own professional confidentiality obligations

Skandhas Center of Leadership and Coaching for Change, LLC and Miguel Noguerol, MCC accept no liability for decisions made in reliance on AI-generated conversations.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Skandhas Center of Leadership and Coaching for Change, LLC and Miguel Noguerol, MCC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of these services, including but not limited to decisions made based on AI-generated content.

Your use of these services is entirely at your own risk.

Except as expressly stated in these Terms, these services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Skandhas Center of Leadership and Coaching for Change, LLC does not warrant that the services will be uninterrupted or error-free, or that AI-generated content will be accurate, complete, or appropriate for your situation.

6. Eligibility

By using either service you confirm that:

• You are at least 18 years of age

• You have the legal capacity to enter into a binding agreement

• Your use of the service does not violate any applicable laws or regulations in your jurisdiction

7. Subscription and Billing

Free trial and paid subscription terms are managed through MemberSpace and Stripe. Subscription fees are billed as described at the time of signup. You may cancel your subscription at any time through your account settings. Skandhas Center of Leadership and Coaching for Change, LLC does not offer refunds for partial billing periods.

8. Privacy and Data

Voice and conversation processing.

Your conversations are processed through ElevenLabs' Conversational AI platform under Zero Retention Mode. This means the content of your conversation, including transcript and audio, is not logged or stored by ElevenLabs after your session ends. For the Skandhas Reflective Practice Companion, and for the Skandhas Insight to Action Coaching Companion when Optional Session Memory (described below) is not turned on, each session begins fresh, with no memory of previous sessions.

Optional Session Memory (Insight to Action only).

If you use the Insight to Action Coaching Companion, you may optionally turn on Session Memory. This feature is off by default and can be turned on or off at any time from the session page. If you turn it on, a short, factual summary of that session is generated automatically, by AI, immediately after the session ends, and is saved to your own MemberSpace account. The summary describes only the general topic you brought, what you said you wanted from the session, anything you named as newly clear or decided, and anything left open for a future session. It is not a transcript of the conversation, and it is not a clinical, diagnostic, or evaluative record.

This summary is generated by Skandhas's own backend systems using the Claude API operated by Anthropic directly — a separate process from the Zero Retention Mode voice channel described above — and is not reviewed by a human before it is saved. Turning the feature on is itself your approval for each session's summary to be saved automatically, without a separate review step per session. By design, these summaries never include health or medical information, sexual orientation or gender identity, religious or political beliefs, union membership, immigration or citizenship status, criminal or legal history, or genetic or biometric information, even if this kind of information comes up during your session, and they never identify a coworker, manager, employer, or any other third party by name.

When Session Memory is on, your saved summaries — your five most recent sessions — are held in your own MemberSpace account and are made available to the AI coach as quiet background context at the start of a future session, to support continuity. This background context is never treated as settled and never overrides what you say in the current session. Summaries age out automatically on a rolling basis once you have five saved. You may also request deletion of your saved Session Memory history at any time by contacting mnoguerol@skandhas.com.

Because this feature relies on automated AI summarization without human review, Skandhas cannot guarantee that any individual saved summary is complete, accurate, or free of error — please treat a saved summary the way you would your own brief personal notes, not as an authoritative record of the session.

Saving or printing your own session (optional, where available).

If and where this feature is offered, you may choose to save or print a transcript of your own session to your own device. If you use it, a transcript of that specific session is briefly and automatically processed, for no more than a few minutes, solely to deliver a copy to your own device. This only happens if you actively choose to use this feature. Skandhas Center of Leadership and Coaching for Change, LLC does not retain, log, or review this data; it is never written to a database, and any transient copy is automatically and permanently deleted within minutes, whether or not you complete the save. Any transcript you save or print is your own copy on your own device, and you are responsible for storing it appropriately and consistent with your own confidentiality obligations, including any obligations you owe to your coaching clients.

Account and billing information.

Your email address, account, and billing information are managed by MemberSpace and Stripe. Please review MemberSpace's Privacy Policy at memberspace.com/privacy and Stripe's Privacy Policy at stripe.com/privacy for details.

Skandhas Center of Leadership and Coaching for Change, LLC does not sell or share your personal information with third parties.

Roles of the parties.

For data protection purposes, Skandhas Center of Leadership and Coaching for Change, LLC acts as the data controller for your relationship with these services. ElevenLabs acts as a data processor that processes conversation data on Skandhas's behalf and on Skandhas's instructions, under the ElevenLabs Data Processing Addendum (available at elevenlabs.io/dpa), which forms part of Skandhas's agreement with ElevenLabs and includes Standard Contractual Clauses for international transfers, including transfers relevant to the EEA, the UK, Switzerland, and Brazil. Anthropic acts as a subprocessor engaged by ElevenLabs for the voice conversation channel, and, separately, as a processor engaged directly by Skandhas for the Optional Session Memory feature described above, under Anthropic's Data Processing Addendum for its commercial API services; in both capacities Anthropic is bound by protections substantially as protective as that Addendum. ElevenLabs' current subprocessor list is available at compliance.elevenlabs.io. MemberSpace, in addition to the account and billing role described above, also stores your Session Memory summaries if you choose to turn that feature on. You are not a party to Skandhas's agreements with these providers.

For EU and UK users: Anthropic supports GDPR compliance for API customers through Standard Contractual Clauses, and ElevenLabs likewise offers data processing agreements for its platform. Both providers may process data outside your jurisdiction; see anthropic.com/privacy and elevenlabs.io/dpa for details.

California residents (CCPA/CPRA).

If you are a California resident, you have the right to know what personal information we collect, to request deletion of your personal information, and to be free from discrimination for exercising these rights. Skandhas does not sell or share personal information as those terms are defined under the CCPA/CPRA. To exercise these rights, contact us at mnoguerol@skandhas.com.

To exercise any data rights (access, deletion, portability) contact us at mnoguerol@skandhas.com and we will coordinate with the relevant processors on your behalf.

9. Indemnification by User

You agree to indemnify, defend, and hold harmless Skandhas Center of Leadership and Coaching for Change, LLC and Miguel Noguerol, MCC from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms of Use; (b) your misuse of either service, including any use that violates applicable law; (c) content you submit during a session that infringes, misappropriates, or violates the rights of any third party, including any breach of confidentiality owed to your own coaching clients or their organizations; or (d) decisions or actions you take in reliance on AI-generated content.

10. Termination and Suspension

Skandhas Center of Leadership and Coaching for Change, LLC may suspend or terminate your access to either service, with notice where practical, if you violate these Terms, misuse the service, fail to pay applicable fees, or if Skandhas reasonably believes continuing to provide the service to you would create a legal or safety risk. You may cancel your own subscription at any time as described in Section 7.

Upon termination for any reason, your right to access the services ends. Section 8's data handling and retention terms continue to apply to any data already saved, such as Session Memory summaries, until it is deleted or ages out as described there. Sections 4, 5, 8, 9, and 12 survive termination of these Terms.

11. Governing Law and Dispute Resolution

These Terms of Use are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of either service will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.

12. General Provisions

Force majeure. Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond that party's reasonable control, including outages or service interruptions affecting ElevenLabs, Anthropic, MemberSpace, or Stripe.

Third-party services. These services depend on third-party providers, including ElevenLabs, Anthropic, MemberSpace, and Stripe, as described in Section 8. Skandhas Center of Leadership and Coaching for Change, LLC is not responsible for outages, errors, or changes made by these providers that are outside its control.

Assignment. You may not assign or transfer your account or these Terms to anyone else. Skandhas Center of Leadership and Coaching for Change, LLC may assign these Terms in connection with a sale, merger, or transfer of its business, with notice to you.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be treated as replaced by an enforceable one that most closely reflects its original intent.

Entire agreement. These Terms, together with any documents they expressly reference, are the entire agreement between you and Skandhas Center of Leadership and Coaching for Change, LLC regarding these services, and supersede any prior agreements or understandings on this subject.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of either service after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated via email where possible.
